Welcome to Breed Up! These Terms and Conditions ("Terms") govern your access to and use of the Breed Up web application (the "Service"), operated by FJS Ventures, LLC, a California limited liability company ("Breed Up," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
To access certain features of the Service, including subscription features, you must create an account. You agree to:
You are responsible for all activities that occur under your account, whether or not you have authorized such activities. You may allow employees, farm workers, or other authorized individuals to access your account at your own discretion and risk.
Breed Up offers subscription-based access to premium features. Current subscription options include monthly and annual billing cycles. We may offer promotional pricing or discount codes at our sole discretion.
All payments are processed through Stripe, Inc., a third-party payment processor. We do not store your credit card or payment information. By subscribing, you authorize us to charge your payment method on a recurring basis according to your selected billing cycle.
Your payment information is subject to Stripe's Terms of Service and Privacy Policy. We are not responsible for any errors, failures, delays, or security issues related to Stripe's payment processing services. If you have payment-related questions or issues, you may need to contact Stripe directly.
If your payment method fails, we will attempt to process payment up to 3 times over 14 days. You will receive email notifications of failed payment attempts. If payment cannot be successfully processed after all retry attempts, your subscription will be cancelled and your access to the Service will be terminated.
If you dispute or initiate a chargeback for any subscription payment with your bank or card issuer, we reserve the right to immediately suspend or terminate your access to the Service. You will be responsible for any chargeback fees incurred by us (typically $15-25 per chargeback) in addition to the disputed amount.
Your subscription will automatically renew at the end of each billing period unless you cancel prior to the renewal date. You will be charged the then-current subscription rate upon renewal.
You may cancel your subscription at any time through your account settings. Cancellations are effective at the end of the current billing period. You will continue to have access to the Service through the end of the paid billing period.
All subscription fees are non-refundable. If you cancel your subscription, you will not receive a refund for any partial subscription period. This no-refund policy applies even if you do not use the Service during a paid period.
We reserve the right to modify subscription pricing at any time. Price changes will take effect at the start of your next billing cycle after we provide you with notice. Your continued use of the Service after a price change constitutes your acceptance of the new pricing.
Before completing your subscription purchase, you will be presented with clear disclosure of the automatic renewal terms, including the renewal frequency and amount. By completing your purchase, you affirmatively consent to automatic renewal.
Upon subscribing, you will receive a confirmation email containing your subscription terms, renewal date, cancellation instructions, and our refund policy.
For annual subscriptions, we will send you a reminder email between 15-45 days before your subscription renews, notifying you of the upcoming renewal date and amount, and providing instructions for cancellation.
If your payment fails and we cannot successfully charge your payment method:
During the 90-day grace period, you may not access the Service but may contact support to resolve payment issues and restore your subscription.
We reserve the right to modify or eliminate the data retention grace period for accounts that repeatedly subscribe and cancel within short periods, at our sole discretion.
Breed Up is a data tracking and organization service that helps users record and organize heat detection, breeding cycles, and related data for cattle and other livestock. The Service allows you to input, store, and organize breeding-related information.

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice, at our sole discretion. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
You retain ownership of all data you enter into the Service, including breeding records, heat cycle data, animal information, and related content ("Your Data").
By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and analyze Your Data for the following purposes:
We may create aggregated, anonymized data derived from Your Data that does not identify you or your specific farm operations. We retain all rights to use, share, and monetize such aggregated data for research, analytics, business intelligence, or other commercial purposes.
You are solely responsible for the accuracy, quality, and legality of Your Data and the means by which you acquired it.
While your subscription is active, we will maintain Your Data on our servers.
If your subscription lapses due to non-payment or cancellation, we will retain Your Data for 90 days. During this grace period, you may reactivate your subscription and regain access to Your Data. After 90 days, we reserve the right to delete Your Data.
If you request deletion of your account, we will delete Your Data within 90 days of your request. This waiting period allows you to recover your account if the deletion was requested in error.
Notwithstanding the above, we may retain certain data as required by law, to resolve disputes, enforce our agreements, or for legitimate business purposes, including aggregated anonymized data.
We may provide instructional videos, tutorials, or other educational content to help you use the Service. Such content is provided for informational purposes only and should not be construed as professional advice. We make no warranties regarding the accuracy, completeness, or suitability of any educational content. You assume all risk associated with following any instructions or recommendations provided in educational materials.

The Service, including all software, features, functionality, text, graphics, logos, and trademarks, is owned by BreedUp and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.
Breed Up and associated logos are trademarks of [Your LLC Name]. You may not use these trademarks without our prior written consent.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA.
IN NO EVENT SHALL BREED UP, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN SUBSCRIPTION FEES DURING THE 12 MONTHS PRECEDING THE CLAIM.
YOU ACKNOWLEDGE THAT YOU ARE SOLELY RESPONSIBLE FOR ALL ANIMAL HUSBANDRY AND BREEDING DECISIONS. WE ARE NOT LIABLE FOR ANY CONSEQUENCES RESULTING FROM YOUR USE OR MISUSE OF THE SERVICE, INCLUDING ANY ERRORS, BUGS, OR MISCALCULATIONS IN THE SERVICE.
You agree to indemnify, defend, and hold harmless Breed Up, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
The Service uses Stripe for payment processing and Render for hosting. Your use of these third-party services is subject to their respective terms and conditions and privacy policies. We are not responsible for the practices or performance of these third-party services.
These Terms remain in effect while you use the Service.
You may terminate your account at any time by canceling your subscription and ceasing use of the Service.
We reserve the right to suspend or terminate your access to the Service at any time, for any reason or no reason, in our sole and absolute discretion, including but not limited to:
Upon termination, your right to use the Service immediately ceases. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
Your use of the Service is also governed by our Privacy Policy, available at https://www.breed-up.com/privacy. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
You agree that any legal action or proceeding arising from these Terms or your use of the Service shall be brought exclusively in the state or federal courts located in [Your County], California, and you consent to the personal jurisdiction of such courts.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Breed Up.
